No. The contemplated transaction is an asset acquisition of WRITVERO. McSquare Software LLC remains with the seller.
Are the WRITVERO domains included?
Yes. writvero.com and writvero.software are part of the contemplated acquisition package.
Are the seller's operating businesses included?
No. The contemplated acquisition is limited to the WRITVERO product assets identified in the transaction documents. Seller operating businesses, clients, assignments, records, revenue, contracts, websites, and goodwill are excluded unless expressly added by signed agreement.
Does the buyer receive seller third-party accounts?
No unless a definitive signed agreement expressly says otherwise. WRITVERO is designed for buyer-owned hosting and buyer-configured integration credentials.
Is ongoing seller support included?
The transaction materials contemplate only short, defined installation/transfer assistance. Ongoing help desk, managed hosting and feature development would require a separate agreement.
